Executive Board Meeting Minutes
July 17, 2024

Executive Session

The session convened at 9:15 AM

Board members present: Jim Fuda, Deb Wellington, Brenda Berk, Donna Whalen, Walter Brownsword, and Tim Reid. Remote attendance: Paul Jenkins. Kristin Davis of Imagineers was also in attendance.

Per state law, voting on any issue discussed in the Executive Session is done in the Open Session of the Board of Directors meeting. See the Open Session notes below for any action taken by the Board on items discussed in the Executive Session.

Open Session

  1. Call to Order – The Open Session convened at 10:00 AM. Board Members Present: Jim Fuda, Deb Wellington, Brenda Berk, Donna Whalen, Walter Brownsword, and Tim Reid. Remote attendance: Paul Jenkins. Kristin Davis of Imagineers and Darien Covert, Meadow Hill Maintenance Manager, were also present.
  2. President’s Welcome and Remarks

Jim Fuda welcomed all those in attendance. He thanked all who worked on the Hollister House sale and hopes to close on the sale in late July/early August.  Jim reminded us that this is Meadow Hill’s 50th Anniversary, and honoring Connie Abbott is suggested. In honor of her work creating the Meadow Hill community, he is proposing to dedicate the Meadow Hill Conference Room in her name.

  1. Minutes

June 13, 2024, Executive Board Meeting Minutes were approved by email. Vote (6 Yes/0 No)

  1. Financial Report – Treasurer Brenda Berk

Income of $392,934 accrued through the first six months. CAI rental income of $ 4,170 was received against the budget of $4,170. There is a total of $ 18,000 in outstanding fees by 12 owners. Three of those unit owners have outstanding wire assessments. Legal fees to date are over budget by $2,566.75 due to the continued work on the Hollister House project. The total spent on the Hollister House project to date is just over $7K- that money will be put back into the operating budget. Utilities, in total, are under budget by $6.9K. Insurance costs are over plan due to the garage claim. Amenities maintenance is running under plan $2.6K. We have made all the monthly reserve contributions.

  1. Maintenance – Darien Covert

Most work orders have been addressed. The ones remaining are in areas that are out of reach and will require outside help. The corral has been cleaned up, and the broken fencing will be replaced. The tennis courts will be patched and painted this week (weather permitting).

  1. Manager’s Report – Kristin Davis

The Meadow Hill Manager Report can be found in the Board Meeting packet.

  1. Committee Reports
  • Grounds – Kathy Proulx The sample grass boxes are not showing much progress. Only the clover is showing a little growth. She reminded us that this is a process, and the grass might do better in the fall.
  • Trees– Gene Flynn. A complete tree report will be given in August.
  • Risk Management – Deb Wellington

The committee is still working on finding a way to install water shut-off valves in multi-units. They will work with a plumber to explain how this can be accomplished. The committee is also still finalizing the Risk Management and Financial Risk plans to show our insurance company that we are an excellent insurance risk.

Deb informed us that the renewal of the Meadow Hill Employee Health Insurance is due in September. There will be a meeting with Bouvier Insurance to go over the options.

Social Committee – Donna Whalen.  Our “Oldies Party” was a lot of fun! Thank you to all who attended.

  • Long-term Committee – Frank Cisz

Frank thanked Brenda Berk, Deb, Reg Wellington, and Christine Keating for all their help clearing out the Hollister House. It was a huge job.

The committee is revising the mission statement and will then develop a 3–5-year plan using the new Reserve Study and input from the committee chairs.

Open Forum

Bev Willsey expressed her concerns about the vines and invasive species taking over the southwestern area of the property. She informed us that the wall had rotted and recommended that the vegetation be controlled.

Jim Fuda asked the Maintenance Committee to review the situation and report to the Board by the August meeting.

Elaine Lembo would like to bring her horse back to the stable. Darien will work with her to make that happen. Elaine was requested to submit a Work Order.

  1. Business Pending/ Updates
  • Water heater replacements- one unit remains not in compliance and will be followed up by Imagineers.
  • Walkway repairs for 2024 – The Board received the revised proposal to repair the walkways deemed necessary. The cost of these repairs is $2,710.35. The Board will vote on this by email after the treasurer identifies where the funds will be taken from.
  • Hollister House – The house has been cleaned out. Thank you to Brenda Berk and her group for contacting Habitat for Humanity to take away most of its contents. The tenant, CAI, has been given 30 days to vacate the premises. Moving closer to the closing.
  • Dryer Vent Cleaning letters have been finalized and distributed.
  • The Deck Repairs and Replacement letters have been finalized and will be distributed this week.
  1. New Business
  • The Reserve Study Committee met with the Executive Board right after the meeting.
  • The Board agreed to honor Connie Abbott with a plaque and dedication of the Meadow Hill Conference Room.
  • Deb Wellington motioned to send letters of collection discussed in the Executive Session to the three Unit Owners with delinquent accounts. Seconded by Brenda Berk. Vote: (7-Yes/0-No)
  • Walkway repairs will be voted on by email.
